Welcome to Wikio AI. These Terms of Service ("Terms") govern your access to and use of Wikio AI's artificial intelligence platform and services (the "Services"). By accessing or using our Services, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing, or using Wikio AI's Services, you ("Customer," "you," or "your") agree to these Terms on behalf of the organization you represent. You represent and warrant that you have the authority to bind such organization to these Terms.

If you do not agree to these Terms, you may not access or use the Services.

Wikio AI provides a B2B artificial intelligence platform that enables organizations to leverage AI capabilities for their business operations. Our Services include:

  • Digital Asset Management portal
  • Access to AI models and algorithms
  • API integration capabilities
  • Data processing and analysis tools
  • Administrative dashboard and analytics
  • Customer support and documentation

The specific features available to you depend on your subscription plan.

3. Account Registration and Security

3.1 Account Creation

To use the Services, you must create an account by providing accurate, complete, and current information. You agree to:

  • Provide truthful and accurate information during registration
  • Maintain and promptly update your account information
  • Keep your login credentials confidential
  • Notify us immediately of any unauthorized access to your account

3.2 Account Responsibility

You are responsible for all activities that occur under your account. Wikio AI is not liable for any loss or damage arising from unauthorized use of your account credentials.

4. Acceptable Use Policy

4.1 Permitted Use

You may use the Services only for lawful business purposes and in accordance with these Terms. You agree to comply with all applicable laws, regulations, and third-party rights.

4.2 Prohibited Activities

You agree not to:

  • Use the Services for any illegal purpose or in violation of any laws
  • Attempt to gain unauthorized access to our systems or networks
  • Interfere with or disrupt the integrity or performance of the Services
  • Upload or transmit viruses, malware, or other malicious code
  • Use the Services to create, train, or improve competing AI products or services
  • Scrape, crawl, or spider any portion of the Services
  • Remove, obscure, or alter any proprietary notices on the Services
  • Use the Services to process protected health information subject to HIPAA (unless covered by a separate Business Associate Agreement)
  • Engage in activities that violate the rights of others, including intellectual property rights
  • Use the Services to generate spam, phishing content, or other deceptive materials
  • Reverse engineer, decompile, or disassemble any aspect of the Services

5. Customer Data

5.1 Your Data

"Customer Data" means any data, content, or materials that you upload, submit, or transmit through the Services. You retain all ownership rights in your Customer Data.

5.2 License to Process Data

You grant Wikio AI a limited, non-exclusive, worldwide license to access, use, and process Customer Data solely to provide the Services to you and as described in our Privacy Policy.

5.3 Data Responsibilities

You represent and warrant that:

  • You have all necessary rights to provide Customer Data to us
  • Customer Data does not violate any laws or third-party rights
  • You have obtained all necessary consents to process personal data included in Customer Data

5.4 Data Security

We implement reasonable technical and organizational measures to protect Customer Data. However, you acknowledge that no security measures are perfect, and we cannot guarantee absolute security.

6. AI-Generated Content

6.1 Output Ownership

Subject to your compliance with these Terms, you own the output generated by the Services based on your inputs ("Output"). We assign to you all our right, title, and interest in and to Output.

6.2 Output Accuracy

AI-generated content may not always be accurate, complete, or current. You are responsible for:

  • Reviewing and validating all Output before use
  • Ensuring Output meets your specific requirements
  • Determining the appropriateness of Output for your intended use

6.3 Similar Outputs

Due to the nature of AI, the Services may generate similar or identical outputs for different customers using similar inputs.

7. Intellectual Property Rights

7.1 Wikio AI Property

The Services, including all software, algorithms, models, documentation, and related intellectual property, are owned by Wikio AI and protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any ownership rights in the Services.

7.2 Limited License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services during the term of your subscription.

7.3 Feedback

If you provide feedback, suggestions, or ideas about the Services, we may use such feedback without any obligation to you.

8. Fees and Payment

8.1 Subscription Fees

You agree to pay all fees associated with your subscription plan. Fees are billed in advance on a monthly or annual basis, as specified in your plan.

8.2 Payment Terms

  • All fees are non-refundable except as expressly stated in these Terms
  • Fees are exclusive of all taxes, which you are responsible for paying
  • You must provide current and accurate payment information
  • We may suspend or terminate your access for non-payment

8.3 Price Changes

We may change our fees upon 30 days' notice. Continued use of the Services after the effective date constitutes acceptance of the new fees.

8.4 Usage-Based Fees

Certain Services may be subject to usage-based fees. You will be charged for usage that exceeds your plan limits as specified in your subscription details.

9. Term and Termination

9.1 Term

These Terms begin when you first access the Services and continue until terminated by either party.

9.2 Termination by You

You may terminate your subscription at any time through your account settings or by contacting us. Termination will be effective at the end of your current billing period.

9.3 Termination by Us

We may suspend or terminate your access to the Services immediately if:

  • You breach these Terms
  • Your account remains unpaid for more than 30 days
  • We are required to do so by law
  • We cease offering the Services

9.4 Effect of Termination

Upon termination:

  • Your right to access and use the Services immediately ceases
  • We will delete your Customer Data within 30 days, unless legally required to retain it
  • You remain liable for all fees incurred prior to termination
  • Sections that by their nature should survive will continue to apply

10. Warranties and Disclaimers

10.1 Limited Warranty

We warrant that the Services will perform substantially in accordance with our documentation under normal use. This warranty does not apply to issues caused by misuse, unauthorized modifications, or factors outside our control.

10.2 Disclaimer

EXCEPT AS EXPRESSLY PROVIDED, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.

WE DO NOT WARRANT THAT:

  • The Services will be uninterrupted, secure, or error-free
  • Any errors or defects will be corrected
  • The Services will meet your specific requirements
  • AI-generated outputs will be accurate, reliable, or suitable for your purposes

11. Limitation of Liability

11.1 Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WIKIO AI'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO WIKIO AI IN THE 12 MONTHS PRECEDING THE CLAIM.

11.2 Excluded Damages

IN NO EVENT SHALL WIKIO AI BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11.3 Exceptions

Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless Wikio AI and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your use of the Services
  • Your Customer Data
  • Your violation of these Terms
  • Your violation of any rights of another party

13. Confidentiality

13.1 Confidential Information

"Confidential Information" means non-public information disclosed by one party to the other, including business plans, technical data, and customer information.

13.2 Obligations

Each party agrees to:

  • Protect Confidential Information using reasonable care
  • Not disclose Confidential Information without prior written consent
  • Use Confidential Information only for purposes related to these Terms

13.3 Exceptions

Confidential Information excludes information that: (a) is publicly available, (b) was known prior to disclosure, (c) is independently developed, or (d) is rightfully received from a third party.

14. Data Processing and Privacy

14.1 Privacy Policy

Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.

14.2 Data Processing Agreement

If you are subject to data protection laws (such as GDPR), our Data Processing Agreement applies to our processing of personal data on your behalf.

15. Compliance with Laws

You agree to comply with all applicable AI-related laws and regulations, including requirements for transparency, fairness, and accountability in AI systems.

16. Service Level Agreement

Our Service Level Agreement (SLA), if applicable to your subscription plan, is available separately and incorporated by reference.

17. Modifications to Terms

We may modify these Terms at any time by posting the revised Terms on our website. Material changes will be notified via email or through the Services. Continued use of the Services after changes become effective constitutes acceptance of the modified Terms.

18. General Provisions

18.1 Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Wikio AI regarding the Services.

18.2 Governing Law

These Terms are governed by the laws of France, without regard to conflict of law principles.

18.3 Dispute Resolution

Any disputes arising from these Terms shall be resolved in accordance with French law and jurisdiction.

18.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

18.5 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in full effect.

18.6 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.

18.7 Force Majeure

Neither party shall be liable for any failure to perform due to causes beyond its reasonable control, including natural disasters, war, terrorism, labor disputes, or internet failures.

18.8 Relationship of Parties

You and Wikio AI are independent contractors. These Terms do not create a partnership, joint venture, or agency relationship.

18.9 Notices

Notices to Wikio AI should be sent to the contact information provided on our website. We may provide notices to you via email or through the Services.

18.10 Language

These Terms are provided in English. Any translations are provided for convenience only, and the English version shall prevail in case of conflicts.
